Bidding continues for Coherent, pitting Lumentum against II-VI
US semiconductor manufacturing firm II-VI has made a fresh bid for Coherent, beating Lumentum’s raised takeover price of USD 6.9 billion. Lumentum now has until 22 March to amend its offer or waive its matching rights. The company lifted its bid again on 17 March, with Silver Lake saying it would also make USD 1 billion equity investment in the combined company should the transaction go through.

Under the deal, Coherent stockholders would receive USD 220 per share in cash and 0.6100 share of Lumentum stock for each Coherent share owned, taking the total offer to USD 275 per Coherent share. As part of the revised proposal, Silver Lake would also make a USD 1 billion equity investment in the combined company.

The move comes after Coherent received a superior offer from II-IV earlier this month and said it would take a few days to consider it. Lumentum's board of directors continues to recommend the transaction to its shareholders.

Optical components specialist Lumentum said it acquired certain technology assets of laser illumination products maker TriLumina, including its patents and other intellectual property. TriLumina technology includes flip-chip, back-emitting VCSEL arrays for use in a wide range of applications, including 3D sensing, automotive safety and driver assistance systems and LiDAR, and other emerging applications. The transaction's terms were not disclosed.
