Brazil antitrust approves America Movil acquisition of Nextel

Brazil’s Administrative Council of Economic Defense (Cade) has approved without restrictions the acquisition of Nextel by America Movil, owner of Claro. The decision was published in the Official Gazzette. 

Nextel and America Movil informed Cade that the merger will allow Claro to increase its mobile services offering, stimulating digital inclusion and providing Nextel Brasil's current clients access to the complete portfolio of products and services offered by Claro. Besides Cade, the transaction also depends on the approval of the National Telecommunications Agency (Anatel).

Nextel Brasil customer growth slows in Q3, OIBDA improves

Nextel Brasil saw its customer growth slow to 25,000 net additions in the third quarter, for a total base of 3.528 million. Revenues improved 5 percent year-on-year to USd 146 million, and OIBDA jumped to USD 32 million from USD 12 million a year earlier. Parent company NII Holdings said the sale of Nextel to America Movil has been delayed by an appeal from rival TIM, with a decision due by 26 January.

Brazilian regulator gives conditional consent to Claro-Nextel deal

Brazil's National Telecommunications Agency (Anatel) has given conditional approval to the takeover of mobile operator Nextel by Claro. According to the decision, the providers will have a maximum two months from completing the takeover to bring their combined spectrum holdings within the maximum limits for a single group and 18 months to comply with rules on other regulatory limits for mobile and fixed services.

TIM Brasil appeals against antitrust approval of Nextel deal

TIM Brasil has filed an appeal to the Administrative Council of Economic Defense (Cade) against the approval, without restrictions, of Nextel's purchase by America Movil group, owner of Claro, reports O Estado de Sao Paulo. The purchase was announced in March, for USD 905 million, and the regulatory approval was granted in September.

Brazilian regulator approves Nextel acquisition by Claro

The board of directors of Brazil's National Telecommunications Agency (Anatel) has approved the acquisition of Nextel by Claro Group, reports Teletime. The regulator also established a two-month period for Claro and Nextel to adjust their spectrum holdings to within the limit. In eighteen months, the two companies must also prove they have eliminated the overlap of concessions for provision of fixed and mobile telephony services.

Nextel Brasil generates USD 12 million in OIBDA in Q2, adds 65,000 customers

NII Holdings reported a USD 5 million loss from continuing operations and a USD 12 million loss from discontinued operations in the second quarter of 2019. Nextel Brazil, which is classed as discontinued pending its sale to America Mobil, generated adjusted OIBDA of USD 12 million, while capex totaled USD 13 million.

NII shareholders approve sale of Nextel to Claro and dissolution of holding

The shareholders of NII Holdings approved the sale of Nextel Brasil to Claro, according to the USD 905 million deal closed in March. At a special meeting, they also agreed the dissolution and complete liquidation of the holding.

Nextel purchase by Claro faces challenges from other operators

TIM Brasil and Telefonica have informed Brazil's Administrative Council of Economic Defense (Cade) that if the acquisition of Nextel by Claro is approved, it would result in Claro having a high concentration of radio frequency spectrum, causing imbalances in competition between the big operators. According to O Estado de Sao Paulo, TIM filed a petition to Cade, pointing to excessive concentration and requesting the application of remedies to mitigate these effects.

America Movil acquires 100% of Brazil's Nextel for USD 905 mln

America Movil has announced an agreement to acquire 100 percent of Brazil's fifth largest mobile operator Nextel from NII Holdings and Access Industries Brazil Holdings for a total of USD 905 million on a cash- and debt-free basis. Under the terms of the deal, NII Holdings will receive 70 percent of the final net proceeds, with AI Brazil receiving 30 percent for the stake it acquired in June for around USD 70 million.
