EC extends deadline for T-Mobile/UPC Austria merger review

The European Commission has extended the deadline for the competition review of the proposed merger of T-Mobile Austria and UPC Austria, from 25 June to 9 July, after the submission of concessions by T-Mobile. T-Mobile Austria announced the planned acquisition of UPC Austria in December 2017. Deutsche Telekom's subsidiary wants to acquire Liberty Global's subsidiary for EUR 1.9 billion.

Following the merger of T-Mobile Austria and UPC Austria, which became effective on 01 August, the companies have made a statement on their joint strategy and plans. Their aim is to become the best operator in terms of internet provision, entertainment and service. Liberty Global completes sale of UPC Austria, plans proceeds for share buyback programme

Liberty Global has completed the previously announced sale of UPC Austria to T-Mobile Austria for an enterprise value of EUR 1.9 billion. The price is equal to nearly 11x UPC Austria's 2017 adjusted operating cash flow. The proceeds, after taking into account the repayment of debt attributed to UPC Austria, will be approximately EUR 900 million. These will be used to increase Liberty Global's share repurchase programme by USD 500 million and to repay additional debt across select credit pools of Liberty Glo

EC greenlights T-Mobile acquisition of UPC Austria

The European Commission has approved unconditionally the proposed acquisition of UPC Austria by T-Mobile Austria, as announced in December 2017. The Commission concluded that the transaction would raise no competition concerns as the companies' activities and assets are largely complementary; UPC's main activities are related to fixed telecommunications, while T-Mobile is mainly active in mobile.

EC noemt nieuwe deadline voor review UPC-overname door T-Mobile

De Europese Commissie heeft de deadline uitgesteld voor de mededingingsreview van de voorgenomen fusie tussen T-Mobile Oostenrijk en UPC Oostenrijk. De nieuwe datum is 9 juli, waar aanvankelijk uiterlijk 25 juni werd aangehouden. De EC stelt deze uit vanwege concessies die T-Mobile indiende.

T-Mobile Austria to acquire UPC Austria

T-Mobile Austria has agreed to acquire cable operator UPC Austria from Liberty Global for an enterprise value of EUR 1.9 billion. The transaction will create an integrated quad-play provider for broadband, mobile and fixed communications, TV and entertainment products. With this acquisition, Deutsche Telekom is taking another major step to realise its strategy to become a fully converged operator within its European footprint, following recent deals also in the Netherlands and Poland.
