Nokia takes 80% of Alcatel-Lucent, starts integration
Nokia has successfully gained control of Alcatel-Lucent and wants to now quickly move forward with integration plans. Following settlement of the offer on 7 January, Nokia will hold 79.32 percent of the share capital and at least 78.97 percent of the voting rights of Alcatel-Lucent. The numbers assume conversion of the Oceanes, ordinary shares, American depositary shares and convertible bonds tendered into the offer.

Nokia CEO Rajeev Suri said the merged company will from 14 January offer a combined end-to-end portfolio. It will also work hard to “lead the world in creating next generation technology and services,” Suri said.

Nokia will reopen the tender offer for Alcatel-Lucent shares under the same terms in an effort to obtain at least 95 percent of the company. After that it can proceed with a squeeze-out of minority shareholders and delist Alcatel-Lucent shares. Any outstanding Oceane debt may also be redeemed early.
