Vivendi owns over 60% of Gameloft, wants more
Vivendi announced that it has acquired 28.16 million Gameolft shares tendered in its offer of 18 February, giving it 61.71 percent of Gameloft’s share capital and 55.61 percent of voting rights. Pursuant to current rules, the public tender offer will be reopened on identical terms, EUR 8 a share, for a subsequent offering period of at least ten stock market days. The exact dates will be published shortly by financial markets regulator AMF. Based on the results of this reopening, Vivendi will appoint a majority of the Gameloft’s board members at the latter’s AGM on 29 June. 

In a message to Gameloft employees, Vivendi CEO Arnaud de Puyfontaine and COO Stephane Roussel said, “We are convinced that Gameloft, with Vivendi’s backing, can be more ambitious in its growth plans. In a rapidly-evolving market, your company, which needs industrial and financial backing to develop, will be able to count on our full support and commitment. Our group has demonstrated its expertise in supporting and developing talent. You will now take part in a great collective adventure as Vivendi pursues its ambitious redeployment in content and media". 

In response to the Guillemot family raising the issue of creative staff morale when it rejected Vivendi's takeover bid, Puyfontaine and Roussel added, "We will rely above all on your talents and creative freedom.”

Vivendi acquires over 95% of Gameloft shares

Vivendi has increased its stake in Gameloft to 95.94 percent of the capital and 95.77 percent of the voting rights. This follows the close of its public offer for the games developer on 15 June. Vivendio said it reserves the right to proceed to a squeeze-out of the remaining Gameloft shareholders in the next three months. Guillemot family sells 'bulk' of Gameloft shares to Vivendi

The Guillemot family, which founded mobile-gaming group Gameloft, said it has decided to sell the bulk of its shares in Gameloft "with regret" to Vivendi, which last week controlled about 56 percent of Gameloft's voting rights, French media reported. Vivendi made an unsolicited takeover approach for the games editor earlier this year.

Rostelecom announces tender for cloud gaming services

Russian national operator Rostelecom has started accepting tenders for a contract to design a cloud gaming platform, reports Tdaily.ru. The platform will enable subscribers to launch games on their end-user devices remotely. The initial size of the contract is RUB 38.2 million. Cloud gaming service will be available over remote servers hosted in a data centre of the operator of the service.

Vivendi has enough pledges to buy over half of Gameloft

French media and entertainment group Vivendi has won enough votes to take over mobile game maker Gameloft, Les Echos reports. Vivendi made its EUR 700 million takeover bid at EUR 7 a share in February and essentially sewed it up when around 30 percent shareholder Amber agreed last week to tender its stock at EUR 8 a share. Vivendi chairman Vincent Bollore aims to create synergies between the mobile game publisher and Havas Media.

Amber to tender Gameloft shares for cash in Vivendi bid

UK hedge fund Amber Capital told French financial markets regulator AMF that it intends to tender its stake in French mobile game maker Gameloft to media group Vivendi. As of 21 April, Amber owned 14.62 percent of Gameloft shares and 13.17 percent of voting rights. Vivendi holds 29.37 percent of Gameloft's shares and 26.47 percent of voting rights. Reuters reports that the two companies now own twice as much equity as the Guillemot family, which has strongly opposed the bid scheduled to end on 27 May.

Vivendi increases Gameloft bid to EUR 8.00 a share

Vivendi increased its hostile takeover bid for Gameloft by 11 percent to EUR 8.00 from EUR 7.20 a share a week before the offer closes on 27 May. The offer was raised automatically under French rules after Vivendi bought some shares at the higher price on 19 May. Vivendi said it now owns 29.4 percent of Gameloft shares and 26.5 percent of votes.

Court rejects Gameloft request to block Vivendi takeover

The Paris Court of Appeal has rejected a request by mobile game publisher Gameloft for an injunction to block a hostile takeover bid from Vivendi. Financial markets regulator AMF has set 27 May as the deadline for the unsolicited tender offer. The court will continue to address Gameloft's main complaint that Vivendi's takeover bid not comply with regulations.

Gameloft Advertising posts EUR 2.7 mln ad sales in Q1

Gameloft Advertising Solutions, the in-house mobile advertising network of the French games producer, reported ad sales of EUR 2.7 million in the first quarter of 2016, an 800 percent increase over the year-earlier result of EUR 0.3 million. Gameloft files lawsuit against Vivendi takeover bid

Gameloft has filed a complaint at the Paris Court of Appeal against the takeover bid filed by Vivendi for the gaming company, saying it does not comply with regulations on takeover bids. Gameloft has also requested an injunction suspending the decision clearing the bid until the appeals court issues a ruling. Gameloft has also filed a statement with the securities regulator AMF outlining why it opposes Vivendi's bid for the company.

Gameloft FY net loss widens on restructuring costs

French mobile games producer Gameloft said a restructuring programme led it to post a net loss of EUR 24.2 million in full-year 2015, widening from a EUR 6.4 million loss a year earlier. Sales meanwhile grew 13 percent over the year to EUR 256.2 million and the company expects a mobile advertising boom to raise revenues to more than EUR 350 million by 2018.
