America Movil to help Telekom Austria expand services

Mexican telecommunications operator America Movil said that Telekom Austria may offer additional services such as fixed telephony, broadband and pay- TV in some of its operations in Eastern Europe, America Movil CEO, Daniel Hajj, said during a conference call with investors. Telekom Austria operates in Austria, Belarus, Bulgaria, Croatia, Liechtenstein, Macedonia, Serbia and Slovenia.

Hajj said that the in some of these operations, Telekom Austria only offers mobile services and  that America Movil expects to add value to the current operation. Earlier this month, the Mexican operator secured control of over 50 percent of Telekom Austria. America Movil agreed in May a joint shareholding pact with the Austrian government, which will retain a 25 percent stake in the company. The holding of just over 50 percent gives America Movil management control of Telekom Austria. Hajj said that America Movil expects to start working with Telekom Austria in the third quarter of the year.

Mexico's America Movil has announced that its subsidiary Carso Telecom received 38,436,668 shares representing approximately 8.68 percent of the share capital of Telekom Austria during the additional acceptance period of the public buy-out offer. The additional acceptance period expired on 16 October. This took America Movil's stake in Telekom Austria via direct and indirect holdings to some 59.70 percent, or 264,470,131 shares.

Telekom Austria EGM clears authorised capital, new articles

Telekom Austria Group said shareholders at its Extraordinary General Meeting (EGM) on 14 August passed the motion to create authorised capital against cash contribution with a maximum volume of EUR 1.0 billion. Within five years, the management board is authorised to increase the share capital by a nominal maximum amount of up to 221,500,000 bearer shares against cash contribution, with the consent of the supervisory board.

Telekom Austria posts H1 net loss on impairment charge

Telekom Austria Group has reported a net loss of over EUR 300 million in first-half 2014 due to an impairment charge to write down assets in Eastern Europe. The charge of EUR 400 million for Mobiltel in Bulgaria resulted in a negative net result of EUR 317.8 million at the Group level. Group revenues declined 7.3 percent year-on-year to EUR 1.94 billion, due to weak revenues in Austria, Bulgaria and Croatia. America Movil secures just over 50% of Telekom Austria

America Movil announced that 23.47 percent of Telekom Austria's shares were tendered in its takeover bid, raising its total stake to 50.80 percent of the operator. The Mexico-based operator agreed in May a joint shareholding pact with the Austrian government, which will retain a 25 percent stake in the company. America Movil's public bid of EUR 7.15 per share closed on 10 July. Shareholders can continue to sell shares at the same terms for another three months.

America Movil is getting closer to its goal of taking control of Telekom Austria, Die Presse reported, with investors likely to have accepted the takeover offer at a relatively attractive price.
