Italy's CDP approves Enel Open Fiber-Metroweb merger

Italian state lender Cassa Depositi e Prestiti (CDP) announced that its board approved the merger of broadband operator Metroweb (46.2 percent owned by CDP Equity) and Enel Open Fiber (100 percent owned by Enel). Under the terms of the deal, already disclosed by Enel, CDP Equity and Enel Open Fiber (EOF) will each participate in a EUR 714 million capital increase for EOF which will use the proceeds to acquire all shares in Metroweb. The deal assumes an enterprise value including minority shareholdings of EUR 814 million for Metroweb, whose other major shareholder F2i will be offered an option
