Spinnaker Software and WordStar International will be acquired by SoftKey Software Products in a complex three-way stock-swap which values the combined firms at some USDlr244 mil. The acquisitions will create a consumer software firm with sales of an estimated USDlr130 mil in 1993. The new firm will concentrate on consumer and home office software which will be sold largely through retail distributors. The stock swap will mean that SoftKey holders with own 53% of the combined firms, while WordStar investors will own 16% and Spinnaker holders will hold 31%.
