Tele2 loses strategy chief Andersson

Tele2 announced that Stina Andersson, its head of strategy and business development, will leave the company after it completes the merger with Com Hem. Andersson is leaving to pursue other opportunities, after joining Tele2 in 2016 from shareholder Kinnevik and helping refocus the company on the Nordic and Baltic region. She will remain in her position at Tele2 until one month after closing of the Com Hem merger.

Andersson also was responsible for Tele2's IoT business. Due to her departure and the growing size of the IoT business, Tele2 IoT will move after the Com Hem merger into the International Market Area, headed by Guillaume van Gaver, Executive Vice President International. Rami Avidan, CEO Tele2 IoT, will leave the company to pursue other interests, and Ingrid Wistrand, deputy CEO of Tele2 IoT, will become acting CEO from 28 September.

A new Executive Vice President, Strategy and Business Development in the merged company will be announced before the closing of the merger, together with additional leadership team positions, Tele2 said. The company aims to complete the merger before the end of 2018.

Com Hem approves senior notes redemption upon Tele 2 merger completion following SCRO authorisation

Com Hem Holding has approved the redemption by its subsidiary Com Hem Sweden of its SEK 1.75 billion senior unsecured notes due 2021 and its SEK 2.25 billion senior unsecured notes due 2022. The redemption is conditional upon the completion of the merger of Com Hem and Tele 2 AB. The Swedish Companies Registration Office (SCRO) has now authorised this merger and is expected to register it on 05 November.

Tele2 raises FY outlook again as Q3 sales grow 9%

Tele2 has again upgraded its full-year outlook again, after a strong set of third-quarter results. Revenue rose 7 percent to SEK 6.538 billion, led by growth in Kazakhstan and Croatia and a return to mobile service growth in Sweden. Adjusted EBITDA was up a stronger 12 percent to SEK 1.984 billion, as the impact of EU roaming price cuts lessened.

Tele2, Com Hem merger approved by European Commission

Com Hem said it has applied to delist its shares from Nasdaq Stockholm after the European Commission approved its merger with Tele2 unconditionally. Com Hem shareholders will receive SEK 37.02 in cash plus 1.0374 x  B shares in Tele2 for each share held at the time of completion. The last day of trading in Com Hem shares is expected to be 01 November, and the merger is expected to close on 05 November, with the newly issued Tele2 shares to start trading in Stockholm on the same date.

Tele2 announces all-male additions to merged group's leadership team

Following the formal approval of their merger by the EGMs of Tele2 and Com Hem, Tele2 has announced more appointments to the leadership team of the merged entity. The combination is expected to be logged with the Swedish Companies Registration Office in the fourth quarter.

Tele2 launches EnCore system based on Nokia's WING to support large-scale IoT deployments

Tele2 has announced the launch of a platform called EnCore, enabling customers to make IoT device deployments with connectivity on a large scale. It said companies have previously faced challenges such as having to administer several operators and platforms in different regions, including local operators in some countries with regulatory requirements. They have also had difficulties in finding cost-efficient services for mid and high data applications.

Com Hem and Tele 2 each said that their respective Extraordinary General Meetings (EGMs) have approved motions to merge the two companies. Com Hem shareholders rejected a proposal from Martin Green for a probe into whether  members of Com Hem's board and management fulfil legislative and regulatory requirements and the demands that society's ethical values place on people in leadership roles. The merger is expected to be logged with the Swedish Companies Registration Office in the fourth quarter.

With its first quarter results, Tele2 announced a new shareholder and remuneration policy, ahead of the merger. The company said it was aiming for a net debt to EBITDA target range of 2.5-3.0.

Com Hem and Tele2 have each announced Extraordinary General Meetings (EGMs) for their respective shareholders on 21 September regarding their merger. Shareholders at the Com Hem EGM are being asked to support an ethics probe. Separately, Tele2 has announced appointments to the merged company's leadership team and board of directors, and a split of its enlarged Swedish operations into B2C and B2B.

Tele2 Group and Com Hem Holding said they are merging to create Sweden's second largest mobile telephony and fixed broadband provider, as Tele2 seeks to focus on the Baltic Sea region after strategic moves elsewhere. Tele2 is absorbing the Swedish cable operator but Com Hem's CEO Anders Nilsson will take over as CEO of the enlarged Tele2 from Allison Kirkby.
