OAIG board approves Telekom Austria shareholder talks
The board of Austrian state holding company OIAG has given the management of Telekom Austria a mandate to negotiate a syndicate agreement between OIAG and America Movil. OIAG is currently Telekom Austria's largest shareholder. It has set some conditions for reaching an agreement, including securing the long-term future of Telekom Austria's headquarters in Austria as well as effective protection against dilution of its equity stake below 25 percent plus one share. America Movil holds 26.8 percent of the operator's shares.

OIAG to borrow EUR 280 mln for Telekom Austria capital hike

Austrian state holding company OIAG will borrow the EUR 280 million it needs to maintain its 28.4 percent stake in Telekom Austria when it raises its capital before mid-2015, and will repay the credit through its dividends, Der Standard reported. America Movil secures just over 50% of Telekom Austria

America Movil announced that 23.47 percent of Telekom Austria's shares were tendered in its takeover bid, raising its total stake to 50.80 percent of the operator. The Mexico-based operator agreed in May a joint shareholding pact with the Austrian government, which will retain a 25 percent stake in the company. America Movil's public bid of EUR 7.15 per share closed on 10 July. Shareholders can continue to sell shares at the same terms for another three months.

Trade union slams America Movil-Telekom Austria pact

Austrian postal and telecoms union GPF has criticised the agreement between state holding company Osterreichische Industrieholding (OIAG) and America Movil, which opens the way for the Mexican company to take control of Telekom Austria. Werner Muhm, director general of the Austrian Federal Chamber of Labour, said the leadership role at Austria Telekom has been yielded. The country urgently needs Telekom Austria for growth and jobs, GPF said.

America Movil announced plans to launch a takeover bid for the rest of Telekom Austria, as part of a proposed shareholders agreement with the Austrian state. Staff reps oppose OIAG-Slim deal over Telekom Austria

Worker representatives on the supervisory board of OIAG oppose the syndicate agreement between America Movil and Telekom Austria, Die Presse reported on its website. The worker representatives met on 11 April and decided to oppose the agreement, which will be put to a vote at a supervisory board board meeting on 23 April. Talks between America Movil and Austrian state holding company OIAG about combining their stakes in Telekom Austria have hit a rough patch over the Austrian government's insistence on retaining broad veto rights over some decisions, reports Reuters. Austrian newspaper 'Kurier' quoted unnamed sources as saying that the situation had escalated with an agreement on a knife's edge.

Telekom Austria Group has been informed by Schoenherr Rechtsanwaelte that Carso Telecom, which is indirectly controlled by America Movil, has completed the transaction to purchase a total of 13.90 million shares of Telekom Austria from Inmobiliaria Carso and Control Empresarial de Capitales.
