Qualcomm rejects Broadcom takeover offer

Qualcomm has rejected Broadcom's unsolicited takeover offer, sating it "significantly undervalues" the company. Broadcom announced the USD 130 billion bid a week ago, offering a 28 percent premium on Qualcomm's latest share price. 

Qualcomm said its board conducted a "comprehensive review" with financial and legal advisors of the offer and the conclusion was that it "dramatically undervalues Qualcomm and comes with significant regulatory uncertainty". Director Tom Horten said in a statement: "We are highly confident that the strategy [CEO] Steve [Mollenkopf] and his team are executing on provides far superior value to Qualcomm shareholders than the proposed offer."

Broadcom said in response that it "remains fully committed" to pursuing the acquisition. CEO Hock Tan said in a statement that "many have expressed to us their desire that Qualcomm meet with us to discuss our proposal. It remains our strong preference to engage cooperatively with Qualcomm's board of directors and management team." There was no suggestion that the company intends to improve its bid.

Qualcomm reported a net loss of USD 6.0 billion for its fiscal first quarter to December, compared to a profit of USD 0.7 billion a year ago, due to provisions for competition fines in the EU and Taiwan and charges for the US corporate tax reform. The operating result was breakeven, while revenues were up just 1 percent year-on-year to USD 6.1 billion, in line with the company's outlook.

Qualcomm said its board of directors has unanimously decided to not nominate any of the 11 candidates assembled by Broadcom and Silver Lake Partners to replace Qualcomm's current directors. For the long term, Broadcom said it will continue to target annual revenue growth of 5 percent and that it will be raising its target for adjusted gross margin from greater than 60 percent to 65 percent and its adjusted operating margin from 45 percent to 47.5 percent. Broadcom will also be raising its long-term target for free cash flow from 35 percent to 40 percent of net revenue.
