Zurich court rejects Salt injunction bid against Sunrise-UPC merger, calls hearing

Swiss operator Sunrise said that the Commercial Court of the Canton of Zurich has rejected an injunction application filed by Salt. Salt sought the injunction to restrain Freenet, the largest shareholder of Sunrise, the board and executive members of the company, from tendering their shares to UPC Switzerland. The Commercial Court has summoned Sunrise and Salt for an oral hearing over Salt's application on 14 September.

Salt earlier accused Sunrise before the US district court in Colorado of infringing contractual rights established as part of their Swiss Open Fibre joint venture. It has received authorisation from the US court to subpoena Liberty Global, chairman John Malone and CEO Mike Fries over the proposed takeover of Sunrise.

Liberty Global completes acquisition of Sunrise

Liberty Global said it has completed the acquisition of Swiss operator Sunrise. The company owns 98 percent of the shares in Sunrise after settlement of the tender offer. It will start a squeeze-out according to the Swiss Financial Market Infrastructure Act. Liberty Global plans to delist Sunrise's shares from the SIX Swiss Exchange after completing the squeeze-out.

Fries will hold the position until the closing of the next AGM. The shareholders of Sunrise also elected the representatives of Liberty Global Miranda Curtis, Manuel Kohnstamm, Andrea Salvato, Marisa Drew, Thomas D. Meyer, Joseph Deiss and the CEO of UPC Switzerland Baptiest Coopmans as new members of the Board of Directors.

Swiss regulator approves transfer of Sunrise spectrum licences in UPC takeover

The Swiss Federal Communications Commission (ComCom) has approved the transfer of Sunrise's radio licence as part of its takeover by Liberty Global. Sunrise will continue to meet the licensing requirements after the takeover by Liberty Global, the regulator said. Moreover, the company continues to have the necessary technical capabilities to provide its customers with mobile services.

Sunrise, UPC Switzerland receive competition commission approval for merger

Swiss operator Sunrise said that competition commission Comco has approved its takeover by UPC Switzerland, a subsidiary of Liberty Global. Comco granted approval for the merger without conditions or stipulations. Sunrise shareholders had tendered 96.48 percent of its fully diluted share capital to UPC Switzerland, and Liberty Global intends to start a squeeze-out and delist Sunrise from trading on the SIX Swiss Exchange.

Swiss operator Sunrise said that the Commercial Court of the Canton of Zurich has rejected an application from Salt for an interim injunction suspending the planned merger of Sunrise with UPC Switzerland. The Court had summoned Sunrise and Salt for an oral hearing over Salt's application on 14 September.

Salt receives court approval to subpoena Liberty Global over merger with Sunrise

Swiss operator Salt said that it has received authorization from a US court to subpoena Liberty Global, Chairman John Malone and CEO Mike Fries over the proposed takeover of Sunrise, Reuters reports. The company said that it "will immediately serve subpoenas" in the case, challenging Liberty Global's plan to acquire Sunrise and merge it with UPC Switzerland.

Salt files lawsuit against Sunrise in Colorado over merger with Liberty Global

Swiss operator Salt has filed a legal proceeding against Sunrise before the US District court in Colorado, the Financial Times reports. The company believes that Sunrise infringed contractual rights established as part of their Swiss Open Fibre joint venture. They had announced plans to set up the joint venture to manage the roll-out of broadband networks after Sunrise's attempt to acquire UPC Switzerland failed.

Salt, Sunrise to start joint venture to roll out fibre broadband in Switzerland

Swiss operators Salt and Sunrise announced plans to partner on rolling out fibre broadband services. They will set up a joint venture company to manage the roll-out of the broadband network, called Swiss Open Fiber. The roll-out is expected to begin in the fourth quarter of this year. Swiss Open Fiber plans a total investment of up to CHF 3 billion over the next 5-7 years to reach 1.5 million households in areas of Switzerland not adequately supplied with broadband.

Swiss Fibre Net (SFN), a joint venture of local energy providers in Switzerland, said it plans to provide over 2 million households with FTTH in the next 5-10 years. Sunrise threatens lawsuits against 5G moratoria

Swiss operator Sunrise is considering lawsuits against possible 5G moratoria by cantons, the company's spokesman Rolf Ziebold confirmed to news agency AWP, reports Handelszeitung. Such moratoria would violate federal law, he said. The federal government alone is responsible for adopting regulations on protection from non-ionising radiation, as the Federal Office for the Environment (Bafu) and the Federal Office of Communications (Bakom) emphasised in a joint statement.
