E-Plus takeover gets final clearance from EC
The European Commission has given final approval for KPN's sale of German mobile operator E-Plus to Telefonica Deutschland. The EC competition authorities agreed to Telefonica's concessions to reserve network capacity for MVNOs, including its recent agreement with Drillisch. The preliminary approval was announced already in July. Completion of the acquisition is expected before the end of September. KPN will receive EUR 5 billion cash and a 20 percent stake in Telefonica Deutschland for E-Plus.

Telefonica Germany and Drillisch agree on shop takeovers

Telefonica Deutschland and Drillisch have agreed on the scope and details of the planned purchase of shops of the merged company. The Drillisch group will acquire up to 301 locations in total, which will be transitioned to the new owner from the middle of the year. Of these, 102 are Telefonica Germany's own shops and probably around 199 are partner shops. E-Plus service revenues up 3.7% in Q3

German operator E-Plus reported third-quarter revenues up 4.4 percent year-on-year to EUR 834 million. Service revenues improved 3.7 percent to EUR 780 million. Adjusted EBITDA increased by 9.6 percent to EUR 250 million, helped by a 7.7 percent fall in subscriber acquisition and retention costs. This resulted in a margin of 30.0 percent in Q3. Telefonia Deutschland has announced the terms of its capital increase to fund the takeover of KPN's E-Plus. Union fears Telefonica-E-Plus merger may cause job losses

German services trade union Verdi fears that job losses could follow the merger of Telefonica Germany and E-Plus. The merger is expected to lead to synergy gains of approximately EUR 5 billion over the next five years. Telefonica Deutschland confirms future management

The Supervisory Board of Telefonica Deutschland has nominated future management following the closure of its acquisition of E-Plus. Thorsten Dirks will be CEO, Markus Haas COO and Rachel Empey CFO. The deal is expected to close in Q3 2014. As COO Haas will be in charge of joint operations, and Empey as CFO will take responsibility for finance and strategy. The company's headquarters will remain in Munich. Decisions about the future of individual locations will be made after the acquisition closes.
